OneSpot Terms and Conditions

1. Introduction

These Terms and Conditions ("Terms", "Terms and Conditions") govern your use of the OneSpot Chrome extension ("the Extension", "our Extension", "the Service") operated by Digital Agents ("we", "us", "our").

By accessing or using the Extension, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Extension.

2. Use License

Permission is granted to temporarily use the Extension for personal or professional email management purposes. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials except as required for normal Extension use;
• Attempt to decompile or reverse engineer any software contained in the Extension;
• Remove any copyright or other proprietary notations from the materials;
• Transfer the materials to another person or "mirror" the materials on any other server;
• Use the Extension for any purpose that is illegal or prohibited by these Terms;
• Use the Extension in any manner that could damage, disable, overburden, or impair the Extension or interfere with any other party's use of the Extension.

This license shall automatically terminate if you violate any of these restrictions and may be terminated by us at any time.

3. Gmail Data Usage

The Extension accesses and processes your Gmail data to provide its core services. By using the Extension, you acknowledge and agree that:

• The Extension will have access to your email data solely for the purpose of providing and improving the services described in our feature list;
• Email content is processed to categorize and organize emails, identify promotional content, and enable Reply Autopilot functionality;
• We do not sell, share, or use your email data for advertising purposes;
• All email processing is done in accordance with our Privacy Policy.

4. API Usage and Limitations

The Extension utilizes the following third-party APIs:

• Google Gmail API: For accessing and managing your email data
• OpenAI API: For AI-powered classification and response generation

Your use of the Extension may be limited by:

• Rate limits imposed by these third-party API providers;
• Changes to API terms, availability, or functionality;
• Your Gmail account storage or quota limitations.

We strive to provide uninterrupted service but cannot guarantee the Extension will always be available or function without errors.

5. User Accounts and Security

To use the Extension, you must authorize it to access your Google account. You are responsible for:

• Maintaining the confidentiality of your Google account;
• All activities that occur through your account;
• Notifying us immediately of any unauthorized use of your account.

We will not be liable for any loss or damage arising from your failure to protect your account information.

6. Intellectual Property

The Extension and its original content, features, and functionality are and will remain the exclusive property of Digital Agents and its licensors. The Extension is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Digital Agents.

7. Disclaimer of Warranties

You expressly understand and agree that your use of the Extension is at your sole risk. The Extension is provided on an "AS IS" and "AS AVAILABLE" basis. Digital Agents expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Digital Agents makes no warranty that:

• The Extension will meet your requirements;
• The Extension will be uninterrupted, timely, secure, or error-free;
• The results that may be obtained from the use of the Extension will be accurate or reliable;
• The quality of any products, services, information, or other material obtained through the Extension will meet your expectations.

8. Limitation of Liability

In no event shall Digital Agents, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Extension;
• Any conduct or content of any third party on the Extension;
• Any content obtained from the Extension;
• Unauthorized access, use or alteration of your transmissions or content;
• Errors in email classification, labeling, or automated responses.

In no event shall our total liability to you for all claims exceed the amount paid by you, if any, for accessing the Extension.

9. Indemnification

You agree to defend, indemnify, and hold harmless Digital Agents, its parent, subsidiaries, affiliates, and all of their respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of:

• Your use of the Extension;
• Your violation of these Terms and Conditions;
• Your violation of any rights of a third party, including but not limited to intellectual property rights.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Extension after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Extension.

12. Termination

We may terminate or suspend your access to the Extension immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
